Notice of Annual General Meeting

Notice is hereby given that the Annual General Meeting (Meeting) of David Brown Tractor Club Ltd (“the Club) will be held at Spinksmire Mill, Meltham, Holmfirth, HD9 4AN on 27th October 2019 at 15:00hrs.
You will be asked to consider and vote on the following changes to the Club Rules:

The Committee proposes to insert the following paragraphs in to the Club’s current Rules as follows:

Objectives of The Club.
To add “Operate and maintain a museum building holding David Brown related archives”.

To make the position of Membership Secretary to Officer of The Club.
To create the position of Health & Safety Officer to carry out Risk Assessments on Club Activities.

Committee Appointments
To introduce the term Appointment. Committee Members who are not Officers will hold a role that is an Appointment. The said Appointments will form a Structure within the Committee. The Appointments will be specified roles that the Appointed Committee Member accepts to carry out responsibly to support the Objectives of the DBTC.

Fees shall be determined by the Board for the membership year and must be paid by 1st May preceding the membership year. Failure to pay shall be deemed to be a voluntary resignation of membership, unless, in exceptional circumstances, alternative arrangements have been made confidentially with the Treasurer by 1st May. New members joining during the membership year shall pay the due pro-rated fee to activate membership.

Website Forum
Members may post on the David Brown Tractor Club website forum, but members may not charge for providing any advice on the forum nor may they advertise their professional services.
Members must not disclose any advice posted on the forum to non-members.
Any member who breaches the foregoing rules will be subject to the Disciplinary Procedure below.

Disciplinary Procedure
All members of the Committee will hear formal complaints or allegations and be involved in the proceedings.
Upon receipt of a formal allegation from any member of the Club the Committee will investigate the allegation.
Members may be approached to give statements that will be passed to the Committee. Providing a statement does not preclude a Committee member from taking part in a disciplinary hearing.

All persons involved in the investigation will be advised not to discuss the case beyond the bounds of the investigation and hearing process.
If, at the conclusion of the investigation, the allegations appear to have substance the subject of the allegation will be invited to a formal hearing with the Committee at which they will have the right of reply. The hearing will normally be held within 28 days after the conclusion of the investigation.
If such allegations are then substantiated, the Committee may impose disciplinary measures on the member.
Disciplinary Measures
The Committee, having determined that formal allegations have been substantiated, may terminate the membership of the particular member in question immediately.
In all cases of disciplinary action, the specific cause or reason will be quoted and a record kept by the Club Secretary.
Decisions made under the Disciplinary Measures will be reported to the subject, by a member of the Committee, in person and/or in writing.
Right of Appeal
If the member feels aggrieved by such disciplinary measure he, she or they may appeal to the Committee in writing who may then confirm, quash or substitute the originally decided disciplinary measure. The decision of the appeal committee after hearing such appeal is final.”

Notes to the Notice of Annual General Meeting
Appointment of proxies
1. If you are a member who is entitled to attend and vote at the Meeting, you are entitled to appoint one or more proxies to exercise all or any of your rights to attend, speak and vote at the meeting and you should have received a proxy form with this notice of meeting. A proxy does not need to be a member of the Club but must attend the meeting to represent you. You can only appoint a proxy using the procedures set out in these notes and the notes to the proxy form.
2. Your proxy will vote (or abstain from voting) as he or she thinks fit in relation to any other matter which is put before the Meeting.
Appointment of proxy by post
3. The notes to the proxy form explain how to direct your proxy how to vote on the matters which are put before the Meeting.
Changing proxy instructions
4. Members may change proxy instructions by submitting a new proxy appointment. Note that the cut-off time for receipt of proxy appointments also apply in relation to amended instructions; any amended proxy appointment received after the relevant cut-off time will be disregarded.
Termination of proxy appointment
5. A member may change a proxy instruction but to do so you will need to inform the Club in writing by either:
⦁ Sending a signed hard-copy notice clearly stating your intention to revoke your proxy appointment to the Club.
⦁ Sending an email to
⦁ In either case, the revocation notice must be received by the Club no later than fifteen days before the AGM date.
If you attempt to revoke your proxy appointment but the revocation is received after the time specified, your original proxy appointment will remain valid unless you attend the Meeting and vote in person.
Appointment of a proxy does not preclude you from attending the meeting and voting in person. If you have appointed a proxy and attend the Meeting in person, your proxy appointment will automatically be terminated.
6. Except as provided above, members who have general queries about the meeting should contact The Secretary in writing or email (no other methods of communication will be accepted).
